- the retirement of Benjamin Goffin from the partnership had been agreed along with payment to him of £420 in full satisfaction of his share of the partnership;
- mortgage of 26 November 1896 from (1) Benjamin Goffin and Edgar James Gates to (2) Woolwich Equitable Building Society;
- three subsequent further advances from the Woolwich Equitable Building Society of 24 June 1897, 21 September 1897 and 11 January 1898;
- £220, part of the sum of £420, should be paid to (ii) by instalments
