Reciting:
- in 1862 (i) was indebted to (ii) for £23,006/7/9 and it was arranged that for £16,650 (ii) should take a composition which he subsequently did and for £6,456/7/9 residue (i) should vest in (ii) all legal and equitable estate in brewery property;
- (i) remained in receipt of the rents and profits of the property and therefrom paid the interest to (ii);
- on 13 Jul 1872 (ii) filed a bill of complaint against (i) in Chancery concerning the arrangement and the bill was then in the course of prosecution;
- since 1862 the businesses of common brewer and wine and spirit merchant had been carried on at (e) appurtenant to the brewery;
- (i) had acquired properties in the third schedule appurtenant to the brewery;
- since 1862 William Anstee, John Cook and Benjamin Bennett had carried on the business of brewers and wine and spirits merchants at (e) as T.Sworder & Company with (i) managing the brewery and wine and spirit business under their direction;
- William Anstee, John Cook and Benjamin Bennett had a lien on machinery, plant and fixtures not belonging to the freehold belonging to (e);
- (ii) had a lien for £1,100 on the machinery, plant and fixtures subject to the prior lien of Anstee, Cook and Bennett with (i) entitled to any surplus value;
- this agreement was designed to settle all disputes between (i) and (ii) in respect of their arrangement and terms
Operative Part:
1. (i) should convey to (ii) all freehold and personal property mentioned in the first two schedules subject to mortgages mentioned and should surrender all copyhold property in 2nd schedule subject to mortgages;
2. (i) should pay (ii) £584 (the amount they had agreed to fix as the balance due to (ii) in respect of rents and profits received by (i) on properties in 2nd schedule until 31 Mar 1872);
3. (ii) might, before 19 Sep 1873, complete a sale in conjunction with (e) and all licensed premises in the second of all properties in the third schedule, subject to mortgages; (i) would join and seek to get Anstee, Cook and Bennett to join in the sale of any machinery, rolling stock, stock in trade etc. of (e) with (i) covenanting with any purchaser not to sell beer or other liquor within a 50 mile radius of Luton on pain of £8,000 if in breach of covenant;
4. If a sale should not be effected under clause 3 before 29 Sep 1873 the right of (i) to properties in third schedule would revert to him;
5. On (i) performing the agreement in clause 3 (ii) would pay him £4,000 but (ii) would be entitled to deduct £584 from the £4,000;
6. On the sale of the machinery, plant, rolling stock and stock in trade and fixtures in clause 3 the proceeds should be applied first in payment of the debt to Anstee, Cook and Bennett and secondly in payment of (ii)'s lien of £1,100 with the balance, if any, paid to (i). If the machinery etc. was not sold by (ii) by Anstee, Cook and Bennett the proceeds to be applied in the same manner;
7. The Bill in Chancery to be dismissed without costs;
8. If any difference should arise between (i) and (ii) in regard to any clause of this agreement the difference should be referred to arbitration
