    Copy Memorandum of Agreement drawn up by R.Hill Dawe of Kings Cross Station, London Parties: (i) Great Northern Railway Company; (ii) London & Arlesey Brick Company Limited of 7 Greek Street, Leeds [Yorkshire]; (iii) James William Close of Park Row, Leeds, chartered accountant; Henry Child of Whitkirk, Leeds; Alfred Brooke Blakeley of Soothill Wood Colliery, Batley [Yorkshire] Operative Part: - (i) to purchase land from (ii) and on that land, as well as on land already owned by (i) and provide sidings [(a)] [as shown on Z1032/Arl/1/2] connected with sidings [(b)] on land of (ii), erecting a gate at boundary which should be kept locked by (ii); - (i), as owners, reserved right to use (a) at all times for their own purposes; - (ii) to pay (i) 10% of the cost of (a) and (b) per annum; - (i) to pay a rebate of 5% per annum on amount paid by (ii) in respect of traffic passing from (b), excluding other railway companies' proportions; rebate should never exceed the 10% sum paid as above; - (ii) to bear expense of rolling stock for haulage from (a) to their premises but (i) to perform all servicing of rolling stock at (a); - all rolling stock at (a) for transit on the railway to be marshalled by (ii); - (ii) to pay Arlesey Station rates and charges to (i) in turn for services rendered; - (ii) to use (i) for all traffic to and from their works; - (ii) to liberate all trucks, sacks and sheets in the time given them by (i), paying demurrage charges in default; - agreement to last for 14 years from completion of (a); - power for (i) to remove (a) at any time without paying compensation; - (ii) not able to assign the agreement without the agreement of (i); - (i) to maintain (a) and (b); - (i) to determine the agreement if (ii) in default; - (iii) to act as guarantors of (ii) for the agreement; - on determination of agreement (i) able to remove the gate and (b) which remained their property for the duration of the agreement; - determination by (i) or (ii) not to affect the rights of either party prior to determination; - (ii) to pay costs of the agreement; - (ii) to sell a strip of land of 0a 2r 23p on E side of (i)'s railway for 134 in fee simple to commence with an indenture of 12 Oct 1876 between Thomas William Grant and Joseph Gurney Barclay and others
