    Notes by John Thomas Green on Charles Tanqueray & Company partnership memorandum: "I have gone thoroughly into this matter but before giving the result at which I have arrived I should like to know for certain whether "The Partnership Memorandum is still in force that is that the gift or permission to purchase from the Senior Partners by the Junior Partners of the respective 1/2 shares was not intended to Cancel the Memdum in other respects". This point should be agreed upon I have also some idea that it is already settled by the memdum made in division of profits after the 1/2 shares had been purchased. The present difficulty arises in clause 9 not having been at the time in proportion to the shares but it was as I know intended that the surviving Senr Partner should take the better half only to the extent of 2 1/2 to 2 (3 1/2 to 2 if WHT survived CDG). It must be remembered that WHT allowed his Son to purchase his odd 1/2 share and CDG allowed CWT to purchase his odd 1/2 share it cannot be argued therefore that such sale by CDG to CWT carried with it the right of both Juniors jointly to purchase between them 1/11 part of CDG right under clause 9 to purchase 2 1/2 of WHT shares (reduced besides from 4 1/2 to 4). The sale from WHT to WHT Jr could not possibly confer on WHT Jr any portion of CDG rights it had just the contrary effect for it actually reduced the bulk quantum of which CDG was to get for his money. There is no evidence on any intention having existed of altering Clause 9 NB send to Ampthill if settled before Thursday"
