 reciting that i) and ii) have been in business as J & G Turner, 66a, St John Street, Bedford, as wholesalers in rope, twine and tarpaulin ('The Business')
 i) has been carrying on business as the Bedford Paper Bag & Wrapping Company at 66a St John Street, Bedford, as paper and bag merchants ('The Company')
Now i) and ii) sell to iii) as from 3 September 1977
- goodwill of the Business and exclusive right to use the Business name, contracts, assets, stock in trade, book debts and property of the Business
 i) sells to iii) as from 3 September 1977
- goodwill of the Company and exclusive right to use the Company name, contracts, stock in trade, debts due, assets and other property of the Company
Since 3 September 1977 i), and i) and ii) as regards the Company and the Business, have carried them on as agents for iii) and should be indemnified accordingly
 i) and ii) will execute a lease of the property (as in annexed draft labelled A)[ not present] and iii) will enter into contracts of employment with i) and ii) as in forms B and C annexed

Consideration for the Company

- unspecified amount for fixed assets, stock in trade, book debts, contracts etc iii) to deliver to solicitors for i) and ii) - £35,000.
On determination of total consideration payable, iii) shall pay to i) and ii) and to i) alone the amount by which the sum arrived at as total consideration exceeds £35,000, or, i) and ii) or i) alone shall pay to iii) any short fall.
Various warranties given by ii) and ii) to iii) as regards the Business

Employees in the Business to be offered by iii) employment on the same terms
Neither i) or ii) shall for 3 years carry on any business which might compete with that of iii)
