    reciting that i) has, for some time past, carried on business of auctioneer, valuer and estate agent at Chellington, and has determined to carry on the business of a cattle salesman, by auctioner at Bedford, and ii) will join him in the business as a partner now i) and ii) agree with each other: -- to become partners under style of ' Rogers and Harris' for 14 years -- to be terminated after 7 years if either so desire -- business to be carried on at premises in Horne Lane, now in occupation of ii) -- partnership to relate only to cattle salesman by auction at Bedford, and not to private business of either partner -- capital of said partnership to consist of £1000, all of which to be contributed by ii) and upon which no interest is to be charged. Profit to be employed in the business -- Books of account to be kept at the office of the partners and each of the partners to have free access to the books -- General account to be made on 1 May and 1 November. To be written in 2 books and each signed by both partners. Each partner to keep one book -- profits and losses to be divided between each partner -- neither partner to employ partnership monies, enter into a contract, or give credit, except for ordinary partnership purposes, without consent of the other -- If partnership dissolved after 7 days, partner to whom notice is given shall have option of purchasing the other's interest at a valuation settled by arbitration. Otherwise business to be sold, capital repaid, and remainder divided equally between the partners -- If a partner die during said term, then value of his share, as ascertained by valuation, to be paid by other partner to the executor ar administrator of deceased, and Bond to indemnify said executor etc from debts of engagements of the partnership. Executors to release to surviving partner all their share in said partnership -- any disputes to be referred to arbitration signatures of both parties.
