Parties
(i) Marston Valley Brick Company, Lidlington, Bedfordshire.
(ii) Erith & Company Limited, 530 High Road, Leytonstone, Essex.
Supplemental to [Z 41/MV1/1/1]
Abstracting as in [Z 41MV 1/1/2] except the following:
So long as Erith & Co shall continue to be the holders of at least 1000 shres of the Company and that the percentage of 26 % shall drop by one tenth for every 1000 shares that shall be held less than 10000 shares.
Erith & Co. or its approved distributing agents shall pay cash to the Company for all bricks delivered on the 20th of the month following delivery.
In the event of Erith & Co. Ltd and its distributing agents not requiring the full quota of 26 % of the output of the Company shall have the right to dispose of bricks to other customers.
In the event of Erith & Co.Ltd or its distributing agents taking bricks ex works and not by rail they should declare in writing the destined place of delivery and the price to be paid to the company should be fixed at time to time by the directors of the company. If the bricks are not delivered to the stated place then Erith & Co. Ltd shall pay to the Company the highest price.
The agreement is to remain conditional until Erith & Co. Ltd have paid to the Company at par for 13860 ordinary 1 shares and 231 1 founders shares.
