    Copy agreement regarding sale and issue of Debentures between London Brick Company Limited and John Edgar Hill & Others. Parties (i) London Brick Company Limited. (ii) Those others named in the 1stSchedule (First Debenture Holders). (iii) Those other named in the 2nd Schedule (Second Debenture Holders). (ii) and (iii) referred to collectively as the Debenture Holders. LBC has issued 500 first mortgage debentures of 100 each, and 300 second mortgage debentures of 100 each. Secured by a trust deed dated 25 Nov 1909 between LBC of one part and George Rogers Jellicoe and Peter Ferguson of the other part. It is proposed that the business of LBC shall be amalgamated with that of B J Forder & Son Limited ('Forders') and a draft agreement for the sale of the undertaking and assets of LBC to Forders has been prepared. Debenture holders are the holders of all the outstanding assets of LBC (as set out in Schedules 1 & 2). LBC and the Debenture holders have agreed the following: 1) Debenture holders assent to the proposed sale and authorise the trustees of the Trust Deed to assent to the sale. 2) Debenture holders sanction and assent to the following arrangements: First Debenture Holders will accept in exchange for their Debentures and interest accruing thereon as from 1 Jan 1923 30 000 in cash with interest at 6% per annum from 1 Jan 1923 to the date of payment, or at Forders 30 000 fully paid up debenture stock of Forders as in the draft agreement 1 Jan 1923, and 20 000 fully paid up 8% cumulative preference shares of 1 each in Forder with dividend as from 1 Jan 1923. Second Debenture Holders will accept in exchange for their debentures and interest from 1 Jan 1923, 30 000 fully paid up cumulative preference shares of 1 each in Forders with dividend as from 1 Jan 1923.
