    Draft Articles of Partnership [much annotated, only remaining clauses listed below] Parties: (i) Charles Waugh Tanqueray of Radwell House, Baldock [Hertfordshire], gentleman; (ii) William Henry Tanqueray of Peblecombe, Epsom [Surrey], gentleman; (iii) George Dymoke Green of Oaklands, St.Albans [Hertfordshire], gentleman Reciting: - (i)-(iii) carry on partnership of distillers, rectifiers and spirit and wine merchants at Vine Street, Bloomsbury [London] Operative Part: - (i)-(iii) covenant with each other that they would continue as partners observing conditions below Conditions: 1. Business to be that of distillers, rectifiers and spirit and wine merchants carried out at Vine Street, Bloomsbury and other places as majority of partners agree. 2. Partnership called Charles Tanqueray & Company. 3. Partnership to commence 1 Jan 1894 and continue until dissolved under clause. 4. Business to be carried on by (i)-(iii) or other acting managers. 5. Decision of majority partners to be binding. 6. Each partner to occupy himself wholly with the business and to no other without permission of other partners. 7. Capital to be £75,000 for purchase of business (including freehold property, machinery, stock, book debts, cash, goods and effects). 8. (i)-(iii) to contribute equally to capital. 9. Extra capital, if agreed by majority partners, to be bought by partners in proportion to current holdings. 10. Capital to be for business use except by special agreement by majority partners. 11. Bankers to be Union Bank of London unless changed by agreement of majority partners. 12. Debts, wages etc. to be paid from profits if sufficient, otherwise from capital. 13. No partner to become surety etc. without permission of the other partners. 14. No partner to endanger his capital. 15. Each partner to discharge debts when due. 16. Proper books of account to be kept. 17. Annual balance sheet to be produced. 18. Each partner entitled to draw a fixed share of the profit quarterly 19. If partner became bankrupt or insolvent other partners may dissolve the partnership. 20. Partners may will their shares to any blood relation.
