Parties:
(i) Lily May Woodcock; Arthur Edward Watkins; Rupert Donald Kitchener; Eric Lucas, all of Stotfold Brewery, holders of Ordinary Shares in Flittons Brewery Limited;
(ii) Herbert Davies of The Old House, Church End, Haynes
Reciting:
- Flittons Brewery Limited was private limited company with 15,000 ordinary shares of 1 each of which 12,814 had been issued and were fully paid up;
- (i) were all directors of the Company
Operative Part:
1. Agreement on (i) procuring the following by 31 Mar 1948:
- execution of agreement by holders of 76% of value of ordinary shares;
- passing of special resolution;
- resignation of all directors and appointment of (ii) in their place;
- transfer of all licences to (ii)
2. (ii) to then purchase all ordinary shares of (i) at 3/5/- per share
