of which (i) had £56,000, (ii) £4,000, &
(iii) £20,000.)
(1) P'ship for 7 years, subject to provs. re
death of (i)
(2) Business in same place etc.
(3) Capital £80,000, as in recital. (ii) may bring
in up to £6,000, when (i) will be bound to
withdraw an equivalent ammt.
(4) Partners to take 6% interest on capital.
(5) As in (5) in no. 19.
(6) Partners entitled to the nett profits.
(7) Partners may draw out up to 2/3rds of the
monthly total per month.
(8) As in (7) in no. 19.
(9) As in (8) in no. 19.
(10) Partners not to engage in other business.
(11) As in (9) in no. 16.
(12) As in (10) in no. 16.
(13) Partners not to engage or dismiss any clerk
without consent of the others, & not to be
bail for any other persons.
(14) As in (6) in no. 16.
(15) As in (15) in no. 17.
(16) As in (16) in no. 17.
(17) Goodwill the sole property of (i). If business
is wound up before expiry of p'ship, (ii) &
(iii) to get 1/3rd each of proceeds of its
sale.
(18) At end of p'ship, (i) may continue business,
paying (ii) & (iii) their shares. If (i)
declines to continue in p'ship before end of
term, the goodwill to be sold & proceeds
divided.
(19) If (i) dies before end of p'ship, then, except
in the two cases below, the business is to
be wound up & assets divided.
Except : (a) If (i) assigns his share to (iii)
in his lifetime.
(b) If (i) does so by will.
(20) If (ii) dies before end of p'ship, the nett.
profits to accrue to (i), paying (ii)'s exors
his share.
(21) If (iii) dies likewise, as in (20) above.
(22) As in (21) in no. 17.
(23) As in (23) in no. 19.
(24) Liberty to (i) to assign his share to (iii)
(25) If the exceptions noted in (19) occur, then
(a) Goodwill to be property of (iii).
(b) Clauses (18) & (20) to be read as ref. to (iii).
(c) If (iii) dies, business to be wound
up.
(26) Disputes : As in (24) in no. 17.
