Articles of Partnership.

(ii) Edw. Owen Carpenter of Bedford.
(iii) Thos. Hen. Barnard.
- - - (1) (i) & (ii) to continue in business as from
1 July 1892 for 7 yrs. as 'Thos. Barnard &
Co.', subject to provs. re death of (i).
(2) Business to be taken over as a going concern,
except 'The Rest' accts. which will remain
under the old firm.
(3) Business at the same place, etc.
(4) Capital of £80,000, in following proportions :
(i) £77,000, (ii) £3,000. Additional capital
to be brought in by (i). (ii) may bring in up
to £10,000 (including original cap.) & (iii)
may bring in up to £10,000. (i) bound to
withdraw an equivalent ammt. Partners to take
6% interest, which may be withdrawn at pleas-
ure.
(5) As in (5) in no. 17.
(6) Profits to be divided in following proportions,
(i) 1/2, (ii) 1/4, (iii) 1/4. Each partner may
draw out up to 2/3rds of monthly total in
anticipation.
(7) (ii) & (iii) to devote their whole time to
business, (i) may attend as he wishes.
(8) Notes etc. to be signed by all partners.

(12) As in (12) in no. 17.
(13) As in (13) in no. 17.
(14) As in (6) in no. 16.
(15) As in (15) in no. 17.

(19) If (i) dies before end of p'ship, business
to be wound up & sold, including the goodwill.
(20) If (ii) or (iii) die, their share to accrue
to (i), paying their exors. as in (20) in
no. 17.
(21) As in (21) in no. 17.
(22) If any partner is guilty of flagrant breach
of his duties, acts in bad faith, goes
bankrupt, speculates or gambles, the others
may dismiss him & dissolve p'ship.
(23) (i) may assign his share to (iii).
(24) As in (23) in no. 17.
(25) As in (24) in no. 17.
